Acceptance of Terms of Use

These Terms of Use apply to Ed4Career and its related websites owned and operated by Ed4Career (“Ed4Career,” “Site,” “our,” “us”) These Terms of Use (“TOU,” “TOS,” “Terms of Condition,” “Terms and Conditions,” “Terms of Service”) constitute a legally binding agreement made by and between Ed4Career and you (“you”). These TOU govern your use of the services we make available on this Site and our other websites (“Services”).

BY ACCESSING OR USING ANY PART OF THE SITE OR SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY THESE TOU, WHICH CONTAIN AN ARBITRATION AGREEMENT, A WAIVER OF CERTAIN CLASS-ACTION RIGHTS, AND LIABILITY LIMITATIONS. FURTHERMORE, BY ACCESSING OR USING ANY PART OF THE SITE OR SERVICES YOU ASSERT THAT YOU ARE OVER THE AGE OF EIGHTEEN (18), UNLESS AN EMANCIPATED MINOR OR POSSESS PARENTAL OR LEGAL GUARDIAN CONSENT.  UNDER NO CIRCUMSTANCES MAY YOU USE THIS SITE OR SERVICES IF YOU ARE UNDER THE AGE OF THIRTEEN (13) YEARS OLD.

In utilizing Services you assert that all information provided is true, accurate, and complete, and that any and all use of the Service is subject to all applicable federal, state, and local laws and regulations.

Terms Relating to All Services

Ed4Career is an educational website that provides online courses, and content about degrees, schools, and careers where you can learn and research and compare educational programs (collectively, the “Service”). Ed4Career does not endorse or recommend the products or services of any particular Client (defined below) on its site or guarantee acceptance into any particular program. Ed4Career is not an agent of either you or any Client.

You understand and by virtue of entering your information on any form while using the Service you agree that:

  1. That Ed4Career will share your Personal Information as defined in the Privacy Policy with any Clients.
  2. Clients are not employees or agents of Ed4Career, nor is Ed4Career an agent of the Clients. You agree not to hold Ed4Career liable for any losses or damages of any sort incurred as a result of any Client dealings. The terms of your relationship with any Client, including terms, conditions, warranties or representations associated with such dealings, are solely between you and such Client. If you have a dispute with any Client, you must address such dispute with the Client directly.
  3. Ed4Career makes no guarantee that you will be matched with a Client through your use of offered Services or that the Clients are either capable of or willing to provide you with products or services.
  4. Ed4Career and our participating Clients expressly reserve the right to discontinue, suspend or terminate the offering of Service(s) and participating Clients’ products or services at any time without prior notice.
  5. Ed4Career may be used as a guide to assist you in determining which schools you should consider applying to but is not an application to educational institutions.
  6. By entering your information on any form or clicking on any button indicating an acceptance or agreement to terms, or a continuance of processing or submission, you understand that you are agreeing to the stated terms and conditions of that submission and that you are submitting an inquiry.
  7. Clients may maintain the information you submitted through the Service whether you elect to use their services or not. By submitting your information in any capacity on the Site, including but not limited to account registration, login, informational requests, feedback, etc., you are consenting to providing us such information and to receive information and/or marketing messages and be contacted via email, phone, text message/SMS, prerecorded message and auto dialer or any other technologies from us and/or third parties that have products or services which may be of interest to you, even if you have opted into any federal, state, or other applicable Do Not Call List.  In the event you no longer want to receive communications from a Client, you agree to notify the Client directly. You also give us authorization to contact you by all of the listed methods above regarding products or services which may be of interest to you and to use the information in any other way consistent with the Privacy Policy incorporated below.
  8. The Service, and any content viewed through the Service, are for your personal and non-commercial use only. You are granted a limited, non-exclusive, non-transferable, license to access portions and aspects of the Site and Service pertinent to your enrollment as well as view pertinent lessons through the service on a streaming-only basis. Except for the foregoing limited license, no right, title or interest shall be transferred to you.
  9. By virtue of using the Service(s), you acknowledge that we reserve the right to, include you in or exclude you from these tests without notice. We reserve the right in our sole and absolute discretion to make revisions periodically and without notice in how we offer and operate our Service.
  10. By virtue of using the Service(s), to utilize the Service(s), including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations

By virtue of using the Service(s), you agree not to archive, copy, download, reproduce, distribute,  alter, display, perform, publish, license, create derivative works from, offer for sale, commercially exploit or otherwise use (except as explicitly authorized in these Terms of Use) content and information contained on or obtained from or through the Service(s) without our express written permission or its licensors. You also agree not to: circumvent, remove, modify, deactivate, degrade or overcome any of the content protections in the Site or Service; use any robot, spider, web scraper or other automated means to access the Site; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Site; insert any code or product or manipulate the content of the Site in anyway; or, use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware equipment associated with the Site or Services, including any software viruses or any other computer code, files or programs.
  12. The availability of content, courses and video lessons will change periodically.
  13. You are responsible for all Internet subscription or access charges. We make no representations or warranties about the quality of your watching experience on your chosen display. The time it takes to begin watching a video will vary based on a number of factors, including your location, available bandwidth at the time, the course and lesson you have selected and the configuration of your device.
  14. BY USING OUR SERVICE, YOU ACKNOWLEDGE AND AGREE TO THESE TERMS OF USE AND TO RECEIVE, WITHOUT FURTHER NOTICE OR PROMPTING, UPDATED VERSIONS OF THE SITE AND RELATED THIRD-PARTY SOFTWARE. IF YOU DO NOT ACCEPT THE FOREGOING TERMS, DO NOT USE OUR SERVICE. WE DO NOT TAKE RESPONSIBILITY OR OTHERWISE WARRANT THE PERFORMANCE OF OUR SERVICE OR YOUR DEVICES, INCLUDING THE CONTINUING COMPATIBILITY OF ANY DEVICE WITH OUR SERVICE. By using our service, you agree to look solely to the entity that manufactured and/or sold you the device for any issues related to the device and its compatibility with the Ed4Career service.
  15. Your access may be terminated or restricted, without notice if you are, or if we suspect that you are (i) in violation of any of these Terms of Use or (ii) engaged in illegal or improper use of the service.

Privacy Policy

Ed4Career respects your privacy and permits you to control the handling of your personal information. Please click here to see Ed4Career’s Privacy Policy. Our Privacy Policy is expressly incorporated by reference into this Terms of Use Agreement. If you do not agree to be bound by these Terms of Use and the Privacy Policy, you may not use or access the Service.

Personal or Website Account

While any visitor can view the site content, in order to fully view all content and use all Ed4Career features, you must register for a personal account on the Site (a “Website Account”) by providing an email address and a password for your Website Account. By creating an account, you agree that you will never divulge, lend, resell or share access to your Website Account with any third party for any reason. You also agree to that you will not access the Site using multiple Website Accounts.

In setting up your Website Account, you will be required to enter additional information, including but not limited to your name, address, current level of education, and location, and any additional information we may require to confirm your identity. You represent that all information provided by you is current, accurate, and complete and you agree that you will update and maintain your information to keep it accurate, current and complete. If any information provided by you is untrue, inaccurate, not current or incomplete, we reserve the right to terminate your use of the Site. In addition to the registration process, as part of your use of the Site, we may obtain certain information about you, including some personally identifiable information that will be treated as described in the Privacy Policy.

Providing your information in response to communications requesting the submission of account information can result in identity theft.  Sensitive account information should always be accessed by going directly to the Ed4Career website and not through a hyperlink in an email or any other electronic communication, even if it looks official. Ed4Career reserves the right to place any account on hold at any time with or without notification to the Website Account owner in order to protect itself and its partners from what it believes to be fraudulent activity.

By using the Site, you consent to receiving electronic communications from us. These communications may involve sending emails to your email address provided during registration, or posting communications on the Site, or in the “My Profile” page and will include notices about your account (e.g., change in password, confirmation e-mails, notification emails and other transactional information) and are part of your relationship with Ed4Career. You agree that any notice, agreements, disclosure or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing. You should preserve copies of electronic communications by printing a paper copy or saving an electronic copy. You also consent to receiving certain other communications from us, such as newsletters about new Ed4Career features and content, special offers, promotional announcements and customer surveys via email or other methods. Online Courses and Academic Credit

Ed4Career may offer online courses in a specific area of study or on a particular topic (an “Online Course”). You understand that Ed4Career and the instructors of any Online Course(s) reserve the right to cancel, interrupt or reschedule any Online Course or modify its content, including the point value or weight of any assignment, quiz, exam or other evaluation of progress. Online Courses offered are subject to the Disclaimer of Warranties / Limitation of Liabilities section below.

For some courses, subject to your satisfactory performance in the Online Course as determined in the sole discretion of Ed4Career, you may be awarded a statement acknowledging your completion of the course (“Certificate of Completion”). This Certificate of Completion, if provided to you, would be from Ed4Career.

You acknowledge that, in the event you are awarded a Certificate of Completion, for completing any of Ed4Career’s Online Courses, that Certificate of Completion shall not stand in the place of a course taken at an accredited institution and does not convey academic credit. You acknowledge that neither Ed4Career nor the instructors of any Online Course will be involved in any attempts to get the course recognized by any educational or accredited institution, unless explicitly stated otherwise by Ed4Career. You agree and acknowledge that if you are taking an Online Course to prepare for any path to credit, including but not limited to, a credit-granting exam, Ed4Career will not have any authority or responsibility with respect to any award or transfer of academic credit and that it is your responsibility to ensure any Online Course taken will be accepted for your desired purpose and outcome.

Content Submissions

You may be provided with the ability to upload certain information, text, or materials, including without limitation, any information, text or materials you post on the Sites’ public forums such as the study groups or the discussion forums (“Submitted Content”). With respect to Submitted Content you post or otherwise make available in connection with your use of the Site, and subject to the terms set forth in the Privacy Policy, you grant Ed4Career a fully transferable, worldwide, perpetual, royalty-free and exclusive license to use, distribute, sublicense, reproduce, modify, adapt, publicly perform and publicly display such Submitted Content. To the extent that you provide Submitted Content, you represent and warrant to Ed4Career that (i) you have all necessary rights, licenses and/or clearances to provide and use Submitted Content and permit Ed4Career to use such Submitted Content as provided above; (ii) such Submitted Content is accurate and reasonably complete; and, (iii) such Submitted Content does not and will not infringe or misappropriate any third party rights (including without limitation privacy, publicity, intellectual property and any other proprietary rights, such as copyright, trademark and patent rights) or constitute a fraudulent statement or misrepresentation or unfair business practice. The above paragraph shall apply to you sending information to Ed4Career regarding the Site or related Services (“Feedback”).

Forbidden Conduct

By virtue of using the Service, you acknowledge and assert that you will not (i) submit, transmit or facilitate the distribution of information or content that is harmful, hurtful, insulting, racially or ethnically offensive, vulgar, sexually explicit, defamatory, infringing, invasive of personal privacy or publicity rights, or in a reasonable person’s view, objectionable; (ii) submit, transmit, promote or distribute information or content that is illegal; (iii) attempt to interfere with or compromise the system integrity or security or decipher any transmissions to or from the servers running the Service; (iv) take any action, that in our sole discretion, that imposes, or may impose an unreasonable or disproportionately large load on our infrastructure; (v) upload invalid data, viruses, worms, or other software agents through the Service; (vi) use any robot, spider, web scraper or other system to access the Service for any purpose without our express written permission; (vii) impersonate another person or otherwise misrepresent your affiliation with a person or entity, conduct fraud, hide or attempt to hide your identity; (viii) submit, upload, post, email, transmit or otherwise make available any information or content that you do not have a right to make available under any law or under contractual relationships; (ix) interfere in any way with the proper working of the Service; (x) circumvent any measures used  to prevent or restrict access to the Service; (xi) use the Service for commercial, solicitation, or advertising purposes; (xii) reproduce, duplicate, copy, sell, resell or exploit any portion of Ed4Career other than as expressly allowed under these Terms of Use; (xiii) use Ed4Career’s trademarks, copyrighted materials, server or other materials in connection with, or to transmit, any unsolicited communications or emails; or (xiv) frame the Site, place pop-up windows over its pages or otherwise affect the display of its page.

By using an Ed4Career Online Course you further agree that (i) your answers to homework, quizzes and exams will be your own work; (ii) you will not make assessments, questions, tests, or assignments to homework, quizzes or exams available to anyone else (iii) you will not make solutions to assignments, quizzes or exams available to anyone else including both solutions written by you, as well as any official solutions provided by Ed4Career; (iv) you will not engage in any other activities that will dishonestly improve your results or dishonestly improve/hurt the results of others.  You agree that Ed4Career may, in their sole discretion and without prior notice, immediately terminate your access and use of the Site, Service and/or your participation in it thereof, if you are suspected of cheating or dishonest academic conduct, or for any other prohibited conduct mentioned above.  Please see the Termination section below.

Ed4Career reserves the right to remove infringing content of which it becomes aware but is under no obligation to do so.

Intellectual Property

When accessing the Site or using the Service, you agree to obey any and all applicable laws and to respect the intellectual property rights of others. All content or other materials available on the Sites, including but not limited to, code, images, text, layouts, arrangements, displays, illustrations, courses, outlines, audio and video clips, HTML files and other content are the property of Ed4Career and/or its affiliates, users, or licensors and are protected by copyright, patent and/or other proprietary intellectual property rights under the United States and foreign laws.

In agreeing to these Terms of Use, you agree that you are solely responsible for any violations of any relevant laws and for any infringements of third-party rights caused by any content you provide or transmit, or that is provided or transmitted using your Website Account. The burden of determining that your use of any information, software or any other content on the Site is permissible rests with you.

There you will find the answers to many frequently asked questions and information on reaching a Customer Service representative. Any conflict between these Terms of Use and information provided by Customer Support or other portions of our website, these Terms of Use will control.

Ed4Career, through our Site, Service or otherwise, may provide links to third parties’ websites. Ed4Career neither endorses nor has control over, and is not responsible in any capacity for the terms, conditions, fulfillment or performance of such third parties’ websites or offers, the collection of information from you by any such third parties, the use of your information by any such third parties, or the use, operation or availability of websites owned or operated by, or on behalf of, any such third parties.

You acknowledge and agree that Ed4Career is not responsible for the availability of such external websites and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such websites. You further acknowledge and agree that Ed4Career will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, products, goods or services available on or through any such websites.

Indemnification

YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS ED4CAREER, INCLUDING ED4CAREER’S OWNERS, SHAREHOLDERS, PARTNERS, OFFICERS, DIRECTORS,AGENTS, EMPLOYEES, PARENTS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ADVERTISERS,CLIENTS, CONTRACTORS, INSTRUCTORS, STAFF AND THIRD PARTY SERVICE PROVIDERS (COLLECTIVELY, “ED4CAREER PARTIES”), AND HOLD THEM EACH HARMLESS FROM ANY AND ALL CLAIMS OR DEMANDS, LIABILITIES, EXPENSES AND DAMAGES, INCLUDING REASONABLE ATTORNEY’S FEES AND COSTS, MADE BY ANY THIRD PARTY DUE TO OR ARISING FROM YOUR USE OR ATTEMPTED USE OF THE SITES, SERVICE OR ONLINE COURSE, YOUR VIOLATION OF THESE TERMS AND CONDITIONS OR YOUR VIOLATION OF ANY LAW OR RIGHTS OF A THIRD PARTY OR INFORMATION THAT YOU POST OR OTHERWISE MAKE AVAILABLE ON THE SITE OR THROUGH THE SERVICE, OR ONLINE COURSE, INCLUDING WITHOUT LIMITATION, ANY CLAIM OF INFRINGEMENT OR MISAPPROPRIATION OF INTELLECTUAL PROPERTY OR OTHER PROPRIETARY RIGHTS.

Limitation of Liability

YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS OF WARRANTIES AND THE LIMITATIONS OF LIABILITY SET FORTH IN THIS TERMS OF USE REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND THE ED4CAREER PARTIES, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS TO ED4CAREER’S ABILITY TO MAKE THE SITE AND SERVICES AVAILABLE TO YOU ON AN ECONOMICALLY FEASIBLE BASIS.

YOU AGREE THAT ANY CAUSE OF ACTION RELATED TO ED4CAREER SITE AND SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Release

YOU HEREBY AGREE TO RELEASE, HOLD HARMLESS, AND FOREVER DISCHARGE ED4CAREER AND ED4CAREER PARTIES AND EACH OF THEIR RESPECTIVE AGENTS, DIRECTORS, OFFICERS, EMPLOYEES,AND ALL OTHER RELATED PERSONS OR ENTITIES FROM ANY AND ALL MANNER OF RIGHTS,CLAIMS, COMPLAINTS, DEMANDS, CAUSES OF ACTION, PROCEEDINGS, LIABILITIES,OBLIGATIONS, LEGAL FEES, COSTS, AND DISBURSEMENTS OF ANY NATURE WHATSOEVER,WHETHER KNOWN OR UNKNOWN, WHICH NOW OR HEREAFTER ARISE FROM, RELATE TO, OR ARE CONNECTED WITH YOUR USE OF THE SITE AND SERVICES.

Ed4Career may provide you with notices, including those regarding changes to the Terms of Use, either by email, regular mail, or postings on the Service. All notices to Ed4Career must be made in writing and mailed to:

Account Termination

You agree that Ed4Career may, in their sole discretion and without prior notice, immediately revoke your grades or successful completion of a course, terminate your access and use of the Site, Service or your participation in it thereof, for any reason or no reason and that none of the Ed4Career Parties shall have any liability to you for any such action. You further acknowledge that Ed4Career has the right to add, edit, remove, cancel, delay, reschedule or alter the format of any Online Course or any other content at any time, and that none of the Ed4Career Parties shall have any liability to you for any such action. If you no longer desire to participate in the Site, you may terminate your participation therein.

Modification to Service

Ed4Career may, in its sole discretion and without prior notice, (a) revise these Terms of Use; (b) modify the Site and/or the Service; and (c) discontinue the Site and/or Service at any time. Ed4Career shall post any revision to these Terms of Use to the Site, and the revision shall be effective immediately on such posting. You agree to review these Terms of Use and other online policies posted on the Site periodically to be aware of any revisions. You agree that, by continuing to use or access the Site following notice of any revision, you shall abide by any such revision.

Governing Law and Other Terms

Mandatory Arbitration. You understand and agree that all claims, disputes, or controversies between you and Ed4Career, including Ed4Career Parties, including but not limited to tort and contract claims, claims based upon any federal, state, or local statute, law, order, ordinance, or regulation, and the issue of arbitration, shall be resolved by final and binding arbitration using the American Arbitration Association’s (AAA) Commercial Arbitration Rules (AAA Rules) in effect on the date of initiation of the arbitration, except as to those AAA Rules that conflict with or differ from this Terms of Use, by one or more arbitrators appointed in accordance with the said rules at a location within Pinellas County  Florida. Any controversy concerning whether a dispute is arbitral shall be determined by the arbitrator(s) and not by the court. Judgment upon any award rendered by the arbitrator(s) may be entered by any state or federal court having jurisdiction thereof. Neither you nor Ed4Career shall be entitled to join or consolidate claims in arbitration by or against other consumers or arbitrate any claim as a representative or member of a class or in a private attorney general capacity. The parties voluntarily and knowingly waive any right they have to a jury trial.

Florida Law and Jurisdiction

All disputes arising out of or related to the use of the Site or Service, as permitted following the Mandatory Arbitration described above, shall be brought in the state or federal courts located in Pinellas County, Florida, and you hereby irrevocably consent to the exclusive jurisdiction and venue thereof. This Agreement will be construed in accordance with the laws of the State of Florida without regard to its conflict of law principles. If the law of your residence prohibits or limits your participation in the Service, then you are responsible for complying with such laws and you agree to indemnify Ed4Career, including Ed4Career’s partners, officers, directors, agents, employees, subsidiaries, affiliates, parents, successors, and their suppliers, against any breach or violation.

Miscellaneous Clauses

1.     Enforceability, Waiver:

If any part of these Terms and Conditions is held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect. These Terms and Conditions are personal to you and you may not transfer, delegate or assign these Terms and Conditions to anyone.

No failure of either party to exercise or enforce any of its right under these TOS shall act as a waiver of such rights.

2.     Assignment, Third-Party Beneficiaries

Any attempt by you to assign or delegate these Terms and Conditions shall be null and void. Ed4Career may assign these Terms and Conditions at its sole discretion.

You agree that, except as otherwise expressly provided in these Terms of Use, there shall be no third-party beneficiaries to these Terms of Use.

3.     Entire Terms ff Use

These Terms and Conditions, the Privacy Policy and other terms, conditions and policies Ed4Career may post on this Service constitute the entire Terms of Use between you and Ed4Career in connection with the Service and supersede all prior agreements between the parties regarding the subject matter contained herein.
